Please read these Terms of Service (“Terms”, “Agreement”, “Terms of Use”) carefully before using the website www.gemtenderexperts.com (“Website” / “Service”), operated by GEM Tender Experts (“Company”, “we”, “us”, or “our”).

Your access to and use of our Website and Services is subject to your acceptance of and compliance with these Terms. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Website or Services.

1. Scope of Agreement

This Agreement constitutes a legally binding contract between GEM Tender Experts and the Client (“you”, “your”, or “Client”). Together, GEM Tender Experts and the Client may be referred to individually as a “Party” and collectively as the “Parties”.

This Agreement supersedes any prior verbal or written agreements, proposals, or understandings between the Parties concerning the Services. Any modifications or variations to this Agreement shall be valid only if made in writing and duly signed/acknowledged by GEM Tender Experts.

2. Services Provided

GEM Tender Experts provides, including but not limited to:

• Tender Information, Alerts & Updates.
• Assistance in GeM Registration, Bid Preparation & Submission.
• Product Listing & Catalogue Management.
• Documentation, Compliance Support & Advisory Services.
• Consultancy and Business Support for Government E-Marketplace (GeM) related activities.

The Services will commence only after receipt of a valid Purchase Order (PO), written confirmation, or upfront payment as per agreed terms.

3. Payment Terms

• The Client shall make 100% advance payment unless otherwise agreed in writing.
• If part-payment is approved, the balance must be cleared within the mutually agreed time frame.
• All payments are non-refundable under any circumstances.
• AMC (Annual Maintenance Contract), server charges, domain renewal, SSL, hosting, and other recurring charges (if applicable) are mandatory and shall be payable annually in advance.
• Delay in payments shall attract an interest of 18% per annum from the due date until actual payment is received.
• All statutory taxes (GST or others) shall be charged additionally as applicable.

4. Confidentiality

Both Parties agree to maintain strict confidentiality of all information, documents, data, and communications exchanged under this Agreement. No Party shall disclose such information to third parties without prior written consent, except as required by law.

5. Intellectual Property Rights

• All rights, titles, and interests in any reports, content, templates, software, or materials developed or provided by GEM Tender Experts shall remain the sole property of GEM Tender Experts.
• The Client is granted a limited, non-transferable, non-exclusive right to use such materials solely for internal business purposes.
• The Client shall not copy, reproduce, resell, or distribute any content, without written approval.

6. Client Responsibilities

The Client shall:

• Provide timely access to required documents, data, and approvals.
• Ensure that all information shared is accurate, complete, and legally compliant.
• Be solely responsible for the authenticity and legality of documents submitted for tenders or registrations.
• Indemnify GEM Tender Experts against any claims, penalties, or legal consequences arising due to incorrect or fraudulent submissions made on behalf of the Client.

7. Limitation of Liability

• GEM Tender Experts shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business opportunities, or data.
• Our liability, if any, shall be limited to the amount paid by the Client under the specific Service in dispute.

8. Termination

• GEM Tender Experts reserves the right to suspend or terminate Services without prior notice if the Client breaches these Terms, fails to make payments, or engages in unlawful conduct.
• Either Party may terminate the Agreement by providing 30 days’ written notice, subject to settlement of all dues by the Client.

9. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India, subject to the jurisdiction of the courts at Ahmedabad.

Any disputes shall first be attempted to be resolved amicably. If unresolved, they shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the proceedings conducted in English.

10. Amendments

GEM Tender Experts reserves the right to modify, update, or replace these Terms at any time without prior notice. Continued use of our Services after such changes constitutes your acceptance of the revised Terms.

11. Force Majeure

Neither Party shall be held liable for any failure or delay in performance caused by circumstances beyond reasonable control, including but not limited to natural calamities, pandemics, governmental actions, strikes, or network failures.
